Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Helios Collective Inc., a Delaware corporation ("Company," "we," "us," or "our"), governing your access to and use of the SafeLane platform, including all related websites, applications, and services (collectively, the "Service"). By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Eligibility and Account Registration

  • You must be at least 18 years of age to create a parent or guardian account ("Account Holder").
  • Child accounts ("Child Profiles") may only be created by a verified Account Holder who is the parent or legal guardian of the child.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • Each account is for a single individual. Account sharing is prohibited.
  • You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

2. Description of Service

SafeLane is an AI-powered educational platform designed to support student learning through guided hints, scaffolded instruction, and interactive tutoring. The Service includes, but is not limited to:

  • AI-assisted homework help using multiple language models;
  • Project workspaces for organizing and analyzing study materials;
  • Homework receipts and learning progress reports;
  • Parental monitoring and content oversight tools;
  • AI-generated study materials including audio overviews, slides, mind maps, and infographics; and
  • Homework completion assistance with PDF export functionality.

3. Acceptable Use

You agree to use the Service only for lawful educational purposes. You shall NOT:

  • Use the Service to engage in academic dishonesty, plagiarism, or any violation of your educational institution's honor code;
  • Attempt to circumvent the hint-only mode or other safety guardrails to extract direct answers;
  • Submit, transmit, or upload content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
  • Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code or underlying algorithms of the Service;
  • Use the Service for any commercial purpose not expressly authorized by the Company;
  • Interfere with or disrupt the Service or servers or networks connected to the Service;
  • Use automated scripts, bots, or scrapers to access the Service; or
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

4. AI-Generated Content Disclaimer

The Service utilizes third-party artificial intelligence models (including those provided by Anthropic, OpenAI, and Google) to generate educational content. You acknowledge and agree that:

  • No Guarantee of Accuracy: AI-generated responses may contain errors, inaccuracies, or incomplete information. The Company does not warrant the accuracy, completeness, or reliability of any AI-generated content.
  • Educational Aid Only: AI-generated content is intended as a supplemental educational resource and does not constitute professional academic, tutoring, or instructional advice.
  • Verification Recommended: Users should verify important information with qualified educators, textbooks, or other authoritative sources.
  • No Liability for Outcomes: The Company is not responsible for academic outcomes, grades, test scores, or any consequences arising from reliance on AI-generated content.

5. Subscriptions, Billing, and Payment

  • Subscription Plans: The Service is offered through tiered subscription plans as described on our pricing page. Features and limits vary by plan.
  • Billing Cycle: Subscriptions are billed on a recurring monthly basis unless otherwise specified.
  • Payment Processing: All payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge the applicable fees to your designated payment method.
  • Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features through the end of the current billing period.
  • No Refunds: Except as required by applicable law, subscription fees are non-refundable. No refunds or credits will be issued for partial billing periods.
  • Price Changes: We reserve the right to modify subscription pricing with at least 30 days' prior written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
  • Free Tier: The free tier is provided at the Company's discretion and may be modified or discontinued at any time.

6. Intellectual Property

  • Company IP: The Service, including its design, code, trademarks, logos, and all proprietary technology, is the exclusive property of Helios Collective Inc. and is protected by applicable intellectual property laws.
  • User Content: You retain ownership of content you submit to the Service (e.g., homework materials, questions, uploaded files). By submitting content, you grant us a limited, non-exclusive, royalty-free license to use, process, and store such content solely for the purpose of providing and improving the Service.
  • AI-Generated Output: AI-generated study materials, responses, and content are provided for your personal educational use only and may not be commercially redistributed.
  • Aggregated Data: We may use anonymized, aggregated, and de-identified data derived from your use of the Service for analytics, research, and service improvement purposes.

7. Suspension and Termination

  • We may suspend or terminate your access to the Service, without prior notice or liability, if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service, other users, or third parties.
  • You may delete your account at any time through account settings. Upon deletion, your data will be removed in accordance with our Privacy Policy.
  • Provisions of these Terms that by their nature should survive termination (including, without limitation, Sections 8, 9, 10, and 12) shall survive.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HELIOS COLLECTIVE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

10. Indemnification

You agree to indemnify, defend, and hold harmless Helios Collective Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any content you submit to the Service.

11. Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@safelane.me and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction: Any dispute not resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware. You consent to the personal jurisdiction of such courts and waive any objection based on venue or inconvenient forum.

12. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: The Company's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without the Company's prior written consent. The Company may assign these Terms without restriction.
  • Force Majeure: The Company shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, or third-party service failures.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the revised Terms on this page with an updated effective date and, where appropriate, by notifying Account Holders via email. Your continued use of the Service following the effective date of any modifications constitutes your acceptance of the revised Terms.
